Terms of Delivery

1. Purpose

These Terms of Delivery ("Terms") describe how AI agent services, software, integrations, consulting, and related deliverables are provided by agentcollab AI ("Company", "we", "our", or "us") to customers ("Customer", "you", or "your").

By purchasing, subscribing to, or using our services, you acknowledge and agree to these delivery terms.

2. Scope of Services

Agentcollab AI provides services that may include:

  • AI Agent development and deployment
  • Custom AI workflow automation
  • Chatbot implementation
  • Knowledge base integration
  • CRM, ERP, and third-party system integrations
  • AI consulting and strategy services
  • Training and onboarding
  • Maintenance and support services
  • Subscription-based AI software services

The exact scope of deliverables will be defined in the applicable proposal, quotation, statement of work (SOW), subscription plan, or service agreement.

3. Delivery Process

Step 1 – Discovery & Requirements

We collect business requirements, objectives, workflows, technical specifications, and other necessary information.

The Customer agrees to provide accurate and complete information required for project execution.

Step 2 – Solution Design

We design the AI solution architecture, workflows, integrations, prompts, automations, and deployment approach.

Step 3 – Development & Configuration

Our team develops, configures, trains, and tests the agreed AI agent solution.

Step 4 – Review & Testing

The Customer may be provided access to review, test, and validate the delivered solution.

Step 5 – Deployment

Upon approval, the solution may be deployed to production environments specified by the Customer.

Step 6 – Support & Optimization

Where included in the purchased plan, we provide support, monitoring, updates, and optimization services.

4. Delivery Timeline

Estimated delivery timelines are provided for planning purposes only.

Delivery schedules may be affected by:

  • Delayed customer feedback
  • Changes in project scope
  • Third-party service limitations
  • Integration complexity
  • Infrastructure availability
  • Regulatory or compliance requirements
  • Force majeure events

Any timeline communicated by us shall be considered an estimate unless otherwise explicitly agreed in writing.

5. Customer Responsibilities

The Customer agrees to:

  • Provide timely access to systems, APIs, accounts, and documentation.
  • Respond to requests for information in a reasonable timeframe.
  • Designate an authorized project contact.
  • Review deliverables promptly.
  • Ensure lawful use of all provided data and systems.

Delays caused by the Customer may result in corresponding adjustments to delivery schedules.

6. Acceptance of Deliverables

A deliverable shall be considered accepted when:

  • The Customer provides written approval.
  • The Customer begins production use of the deliverable.
  • No material issues are reported within seven (7) business days after delivery.

Minor cosmetic issues or non-material defects do not constitute grounds for rejection.

7. Revisions and Change Requests

Reasonable revisions may be included where specified in the applicable service agreement.

Requests that introduce new features, additional integrations, expanded workflows, increased usage requirements, or significant design changes may be treated as change requests and may incur additional fees and delivery time.

8. Third-Party Services

Our solutions may rely on third-party providers, including but not limited to:

  • Large Language Model providers
  • Cloud hosting providers
  • Messaging platforms
  • CRM systems
  • Productivity software
  • Communication platforms

We are not responsible for third-party outages, API changes, platform restrictions, or pricing changes imposed by third parties.

9. AI Output Disclaimer

AI-generated outputs may occasionally contain inaccuracies, hallucinations, incomplete information, outdated information, biased, or unexpected responses.

Customers are responsible for reviewing AI-generated content before relying on it for business, legal, financial, medical, or regulatory decisions.

We do not guarantee that AI outputs will be error-free or suitable for every intended purpose.

10. Data and Security

We implement commercially reasonable measures to protect customer information.

However, no internet-based service can guarantee absolute security.

Customers remain responsible for:

  • Securing their own systems.
  • Managing access credentials.
  • Complying with applicable privacy and data protection laws.

11. Service Availability

For subscription-based services, we aim to maintain high service availability.

However, service interruptions may occur due to maintenance, infrastructure upgrades, third-party outages, security incidents, or circumstances beyond our reasonable control.

We do not guarantee uninterrupted or error-free operation unless expressly stated in a separate Service Level Agreement (SLA).

12. Intellectual Property

  • Agentcollab AI retains ownership of proprietary software, frameworks, methodologies, prompts, templates, and underlying technology.
  • Customers retain ownership of their own business data and content.
  • Custom deliverables may be subject to separate intellectual property provisions specified in the applicable agreement.

13. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Government actions
  • Cyberattacks
  • Internet outages
  • Labor disputes
  • Pandemics
  • Utility failures

Delivery timelines may be adjusted accordingly.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided on an "as-is" and "as-available" basis.
  • We shall not be liable for indirect, incidental, consequential, special, or punitive damages.
  • Our total liability relating to the delivered services shall not exceed the amount paid by the Customer for the relevant service during the preceding twelve (12) months.

15. Modifications

We may update these Terms from time to time. Updated versions become effective upon publication on our website unless otherwise required by applicable law.
